These terms and conditions apply to Services provided by English Lab LLC (that’s “We” or “Our”), located at 30 N. Gould St. Ste. R, Sheridan Wy. 82801 and American English Lab Sp.zo.o. located at Zakopiańska 56, Lokal 20 / nr. 4, Kraków, Poland, 30-418 with NIP: 6793263044. English Lab LLC and American English Lab Sp.zo.o. shall be referred to as “We”, “Us”, or “Our”.

General

Definitions
-
Applicants - the student or the parent/guardian. The applicant must be 18 years of age or older. If the applicant is younger than 18, the applicant must have the legal right to enter into contracts and must have the legal documentation to verify it.

Student - Any person who is taking lessons, participating in speaking clubs, or utilizing any of Our online or in-person services.

Acceptance of Terms

Applicants are presumed to have read, agreed, and accepted these terms & conditions.

Applicants are presumed to have read and agreed to the Privacy Policy on Our website.

For the Applicants under eighteen years of age, registration must be conducted by a parent or guardian.

Applicants confirm that they have access to the internet on a computer (recommended internet connection speed of a minimum of 0.5 Mbps), a webcam to use for weekly live online classes and computer headset (microphone and speakers) to enable them to do the course.

Applicants are responsible for their equipment and software to enable them to do the course or participate in any online activity.

Registration and Applicant Accounts

Applicants are expected to recheck their personal details for any mismatch in the registration confirmation.

Registration and membership is open to all natural persons who have an interest in the learning of English language.

Registration takes place via a dedicated online form on the Website.

Each applicant shall only register once.

In order to use certain features of the Service, applicants will have to create an account, which may require them to select a username and password.

Applicants will be responsible for the confidentiality and use of their username and password and agree not to transfer or resell their use of or access to any third party.

APPLICANTS ARE ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF THEIR USERNAME AND PASSWORD AND FOR ANY AND ALL ACTIVITIES THAT ARE CONDUCTED THROUGH THEIR ACCOUNT.

APPLICANTS MAY NEVER USE ANOTHER PERSON’S MEMBER ACCOUNT WITHOUT PERMISSION.

The logins, course materials and access to live online classes provided to the applicants will be for their use only.

The Applicants agree to not distribute the same to others or reproduce any course material, in any form or manner.

It is expressly forbidden to place accounts at the disposal of third parties and to disclose access details to third parties.

Services
-
We perform online English language training (“Services”) via GoogleMeet, Ayotree (or other platforms as the need may arise).

Applicants may receive the services and to be enrolled inon the course only after The Service Agreement is being signed.

Lesson Specific

Services
-
We agree to perform online English language training (“Services”) via GoogleMeet (or other platforms as the need may arise).

Lessons may also be performed in-person.

Responsible Party
-
The responsible party is the person who completed the student/parent application and is as defined in Sec. I.A.1.

The responsible party is responsible for payments and compliance to these Terms and Conditions for themself or the student if the student is a minor.

Terms
-
Online Live Lessons:
-
The Students schedule will be agreed to by Us and Applicant prior to the start of lessons and scheduled through Our platform.

Lessons are based on and paid for in a subscription model (in the same manner as a gym membership or any other subscription membership).

Self-paced Lessons:
-
All lessons are conducted at the convenience of and time of choosing by the student.

Trial Lesson
The Student’s first lesson is a paid trial lesson. If the Student wishes to continue and have further lessons, they will receive an invoice for the membership on a four-week basis. There is no refund of the paid means.

Term of Agreement
-
This agreement is enforced for a period of 4 (four) weeks (“Term”). If this agreement is for Course Lessons, it will terminate at the end of the course. If this agreement is for Non-Course Lessons, it will automatically renew for an additional Term.

If the Student desires to terminate this agreement and the lessons, they are required to notify us at least 1 (one) week prior to the renewal date. If they do not, they will be responsible for the additional renewal.

Missed Lessons by You
-
The Student is entitled to miss 1 lesson per 12 that will not be charged for.
-
The Student must give a 24-hour notice that they will miss the lesson. If they do not give notification, or the notification is less than 24 hours before your lesson (except by force majeure), the lesson will be considered as given and charged for. Any additional missed lessons will be considered as a lesson complete and charged for.

Missed Lessons by the Teacher

The teacher will notify the Student of their needed absence as soon as possible.

The Student will have the option of choosing a substitute teacher if one is available, rescheduling if a suitable time is found for them and the teacher, or have the missed lesson not counted.

Late to lesson
-
If the Student is late to the lesson and DOES NOT notify the teacher, the teacher will wait for 10 minutes. If the Student is more than 10 minutes late, the teacher will cancel the reminder of the lesson and the lesson will be considered completed and the Student will be charged for that lesson.

If the Student is going to be late to a lesson and notifies the teacher, the teacher will wait for the Student to arrive. The Student will finish the reminder of the time and the lesson will be completed. There is no refund or make up for the time You were late.

Reschedule Lessons
The Student’s lesson time is agreed to by both Parties. If the Student has a need to reschedule the lesson, they may speak with the teacher to see if their schedule allows for a rescheduled lesson. If they cannot accommodate the request, that lesson will be considered a missed lesson and be subject to the rules of missed lessons.

Cost of Services
Costs are as shown on Our website at www.englishlab.online

Payment

The Student will be invoiced every 4 (four) weeks. The invoice is to be paid in full prior to the next lesson.

If the invoice is not paid, the Student will not be able to enter the classroom.

In the event that the invoice is not paid, the lessons will not be held until payment is made and the lessons will be considered as held and paid for.

Should the payment not be made by the second missed all further lessons will be canceled until payment is received, and the original time spot cannot be guaranteed.

Should your account become past due greater than 5 days, it will be set on automatic recurring payments if the Student wishes to continue with lessons once the account is brought to a current status.

In the event that the invoice is not paid, the Student/Applicant will have 30 days to pay. If it is not paid within 30 days, they will be sent to a collection agency as a violation of this agreement as outlined in Sec. II.E.1.

In accordance with the Polish Act of 14 December 2016 - Education Law Article 43(1)(28) American English Lab Sp. zo. o. is exempt from VAT collection and payment. Therefore, all invoices are VAT free.

Cancellations / Refunds

After the first lesson, there are no refunds for cancellations of this agreement.

As stated in Sec. II.E.1, the Student/Applicant may terminate this agreement and the lessons, they are required to notify us at least 1 (one) week prior to the renewal date. If they do not, they will be responsible for the additional renewal.

Speaking Club
-
Speaking club is included in the cost of lessons

Speaking clubs are based on the number of lessons based on the assumption of 12 months of learning.

Full-time (3 lessons/week) - 52 free speaking clubs

⅔-time (2 lessons/week) - 35 free speaking clubs
-
⅓-time (1 lesson/week) - 17 free speaking clubs

Language
-
This Agreement was created in the English language and English is the primary language for this agreement.
-
This Agreement may have been translated into other languages for your ease of reading and understanding.

Should there be any questions or disagreements about this Agreement, all matters will be handled in this Agreement’s primary language which is English.

Behavior
Proper and ethical behavior is expected at all times during lessons. Should You conduct yourself in a manner that is vulgar, threatening, sexually inappropriate, disrespectful to others based on their: color, race, religion, nationality, gender, sexual preference, or any other perceived bias, you will be expelled from the lessons and will not be entitled to any refund.

Litigation and Choice of Law.

English Lab LLC

We hate fighting, but if litigation is necessary this Agreement will be interpreted based on the laws of the state of Wyoming, USA, regardless of any conflict of law issues that may arise. The Parties agree the dispute will be resolved at a court of competent jurisdiction of Wyoming, USA.

American English Lab Sp.zo.o.
We hate fighting, but if litigation is necessary this Agreement will be interpreted based on the laws of Poland, regardless of any conflict of law issues that may arise. The Parties agree the dispute will be resolved at a court of competent jurisdiction of Poland.

We reserve the right to update or modify these Terms and Conditions at any time without prior notice. Your continued use of our services after any such changes constitutes your acceptance of the new Terms and Conditions.
